# U.S. Spot Bitcoin ETFs: Trust Ownership, Brokerage Access and the 2024 Launch

*The January 2024 launch brought spot bitcoin price exposure into ordinary securities accounts. ## Key finding

The U.S. spot bitcoin ETP milestone was an access and custody innovation, not a protocol change. At 31 December 2025, five selected trusts in issuer annual filings held approximately 1.214 million BTC in aggregate, but their individual balances moved in both directions and the coins belonged to the trusts rather than their sponsors or ordinary shareholders’ personal wallets. ## The 2024 launch followed earlier securities bridges {#securities-bridge-before-spot}

Spot products were not the first U.S. securities route to Bitcoin exposure. Grayscale Bitcoin Trust filed a Form 10 registration statement in November 2019 after operating as a private-placement trust whose shares later traded over the counter. On 19 October 2021, ProShares Bitcoin Strategy ETF began the first U.S. bitcoin-linked ETF launch, using regulated futures rather than holding bitcoin directly. Both routes gave investors brokerage-compatible exposure, but each introduced basis, fee, liquidity, redemption or futures-roll features different from spot bitcoin custody.

January 2024 therefore introduced a narrower but important innovation: national-exchange-listed U.S. ETP shares backed by trusts intended to hold spot bitcoin, with creation and redemption mechanisms connecting share supply to trust assets. This dossier concentrates on that U.S. spot cohort. Earlier Canadian and European exchange-traded products also form part of global ETP history, but they should not be collapsed into the SEC decision or used to imply that exchange-traded Bitcoin exposure began in 2024.

## The SEC approved exchange rules for trust shares—not Bitcoin itself {#what-the-sec-approved}

On 10 January 2024, the Securities and Exchange Commission issued one order addressing eleven proposed rule changes from NYSE Arca, Nasdaq and Cboe BZX. The proposals concerned shares of trusts designed to hold spot bitcoin in whole or in part. The order found the exchange proposals consistent with applicable Exchange Act requirements and approved them on an accelerated basis. It did not alter Bitcoin’s software, confer government backing on bitcoin, or guarantee the investment performance of any product.

The SEC Chair’s accompanying statement drew the same boundary: the Commission had approved listing and trading of specified spot bitcoin exchange-traded product shares, not approved or endorsed bitcoin. This wording matters for both history and search terminology. ‘Spot Bitcoin ETF’ became the dominant public phrase, but issuer reports commonly define the vehicles as exchange-traded products or statutory trusts whose shares are registered under the Securities Act. They are not conventional investment companies registered under the Investment Company Act of 1940.

## A familiar securities wrapper changed how investors could obtain exposure {#brokerage-account-bridge}

Before the launch, a U.S. investor seeking direct spot exposure generally needed to manage a wallet, rely on a crypto trading and custody service, or accept the structural differences of an OTC trust or futures-based ETF. National-exchange-listed spot trust shares added another route: investors could purchase a security through established brokerage infrastructure, hold it in account types that permit the product, and use familiar order and reporting systems. The trusts internalized bitcoin acquisition, benchmark calculation, custody and operational procedures behind a listed share.

That is a meaningful institutional-adoption milestone even though it did not create new Bitcoin functionality. The wrapper reduced some practical burdens, particularly private-key management for the shareholder, while introducing a different dependency chain involving sponsor, trustee, custodian, administrator, exchange and authorized participants. An investor moved from directly controlling an on-chain asset to holding a regulated security designed to reflect its price, less fees and expenses. Access became more conventional; the ownership model became more layered.

## The trust owns bitcoin; the sponsor operates the product; the shareholder owns shares {#who-owns-the-bitcoin}

An issuer’s brand should not be confused with beneficial ownership of the trust’s portfolio. IBIT’s reported bitcoin is held by the iShares Bitcoin Trust ETF, not as a corporate treasury position belonging to BlackRock. FBTC’s bitcoin is held by the Fidelity Wise Origin Bitcoin Fund, while Fidelity entities perform sponsor, service or custody roles described in its filing. The same distinction applies to Grayscale, ARK and 21Shares, and Bitwise. Precise language attributes the coins to the legal trust and the operating roles to named service providers.

Shareholders hold units of beneficial interest in a trust, but ordinary exchange trading does not place the corresponding private keys in a shareholder’s wallet. Retail holders generally buy or sell shares in the secondary market. Authorized participants interact with the product’s basket creation and redemption process under the governing documents. Because a share is a security rather than an on-chain unspent transaction output, owning one does not let its holder independently broadcast a transaction spending a proportional slice of the trust’s bitcoin.

## Basket activity changes trust size while fees slowly change bitcoin per share {#creations-redemptions-and-fees}

Exchange-traded products rely on creation and redemption procedures intended to connect share supply with underlying value. When baskets are created, the trust can receive bitcoin or cash used to acquire it according to the product’s current procedures; redemptions remove shares and can require bitcoin delivery or sale. Authorized participants perform these primary-market operations, while most shareholders simply trade existing shares. The mechanism supports arbitrage, but filings still warn that market price can differ from net asset value when trading, liquidity or operational processes are disrupted.

Sponsor fees create a second effect. A trust that earns no operating income generally transfers or sells a small amount of bitcoin to meet its fee and other permitted expenses. The amount of bitcoin represented by each share can therefore decline gradually even when the trust’s total bitcoin balance rises through net creations. Total BTC, BTC per share, net assets, trading price and cumulative net flows answer different questions. A transparent history should name the measure rather than using ‘ETF holdings’ as if all five were interchangeable.

## Issuer records show growth and redemptions at the same time {#year-end-holdings-diverge}

IBIT’s trust held 551,918 BTC at the end of 2024 and 770,792 BTC one year later, an increase of 218,874 BTC across the two snapshots. FBTC moved from 201,556 to 201,684 BTC. The same dates show a different path for converted or smaller products: GBTC declined from 205,398.85921873 to 165,591.49612215 BTC, ARKB from 46,607.1028 to 37,769.3458, and BITB from 40,289.1335 to 38,468.0468. The filings therefore record a redistribution among products rather than uniform one-way accumulation.

Bitcoin quantity is the cleanest measure for this comparison because net assets also change with bitcoin’s dollar price. Even quantity is only a pair of year-end snapshots, not a daily flow series. A product may have substantial creations and redemptions inside the year that nearly offset at the endpoint. The five-product chart is also a selected sample, not the complete U.S. market. Its value is explanatory: institutional access can expand in aggregate while individual trusts gain, stabilize or contract according to fees, investor preferences, conversions and trading conditions.

## Direct bitcoin, ETP shares and Strategy stock are different historical instruments {#three-forms-of-exposure}

Direct bitcoin gives a holder who controls the keys the ability to authorize an on-chain spend under network rules. A spot ETP share gives exposure through a trust that owns bitcoin and uses a custody and basket framework. Strategy common stock is an equity claim on an operating company with bitcoin assets, debt, preferred stock, taxes and management discretion. All three may respond to the bitcoin market, but they differ in legal ownership, fees, operating risk, governance, trading hours and redemption rights.

The 2024 ETP launch belongs in Bitcoin history because it connected the asset to a large existing distribution system for securities. It should not be described as Wall Street taking control of Bitcoin or as shareholders collectively receiving custody of the coins. The network remained open to any valid transaction, while the trusts offered a supervised wrapper for price exposure. The most durable account treats that institutional bridge as significant on its own terms: conventional market access expanded without replacing direct ownership or changing consensus.

### Can an ordinary spot Bitcoin ETF shareholder withdraw bitcoin?

Ordinary shareholders generally buy and sell shares on an exchange rather than withdrawing bitcoin. Authorized participants handle basket creations and redemptions under each trust’s current procedures; share ownership does not give a retail holder control of the trust’s private keys. ### Why compare trust-held BTC instead of assets under management?

Bitcoin quantity better isolates how much BTC a trust held at a reporting date. Dollar net assets also move when bitcoin’s market price changes and after fees or other liabilities, so an AUM change cannot by itself be read as an investor inflow or outflow.
